In 1994, about the end of fourth stage "confused company", Koç Holding has assigned “İnan Kıraç”, spouse of “Suna Kıraç”, the second generation daughter of family, as “Koç Group Chief Executive Officer” (CEO). In these years, the group was in fifth stage and institutionalization has started.
During the period of İnan Kıraç being as CEO, as a necessity of institutionalization, execution was being transferred to professionals gradually.
As required by the rule of retiring when 60 years old, one of the Koç Group principles, İnan Kıraç has retired from this position in 1998. The expectation was the selection one of the four candidates (Temel Atay, Hasan Subaşı, Gökçe Bayındır and Cengiz Solakoğlu) those out of family as CEO for the first time.
With this assignment, a professional out of family would be authorized to be chief executive officer.
But for some reason this assignment has never done or postponed because of disagreements for the name. In this stage there was a regression or hesitation about institutionalization and management strategy of the group has been changed.
Executive board and the position CEO were removed, instead a structure consisting of three persons named “Management Committee." This committee was established with, second generation Suna Kıraç and Temel Atay, vice president of the executive board, under the presidency of holding's board chairman second generation Rahmi Koç. This committee carried out its duty between 1998 and 2000 until Temel Atay's assignation as CEO in 2000. Then, again CEO management started and for the first time, a professional out of family became CEO.
